Overview
KRRASS manufactures and supplies sheet metal machinery, including press brakes, laser cutting machines, shearing machines, ironworkers, notching machines, rolling machines, tube benders, panel benders, tooling, options, and related spare parts and services. These Terms are written for business, industrial, distributor, and professional customers.
Machinery purchases often depend on configuration, tooling, local standards, destination country, delivery terms, installation plan, and written quotation details. For that reason, these Terms provide the general framework. The quotation, pro forma invoice, sales contract, order confirmation, warranty statement, or other written agreement for your order may contain more specific terms.
Definitions
For these Terms:
- KRRASS, we, us, and our refer to KRRASS Manufacture and its relevant affiliates, sales teams, distributors, or service partners where applicable to the transaction.
- Website means www.krrass.com and other KRRASS websites, pages, tools, forms, media, or online materials that link to these Terms.
- Buyer, customer, you, and your mean the company, organization, distributor, professional buyer, or authorized person using the Website or purchasing products or services.
- Products include machines, tooling, accessories, options, spare parts, software, documentation, and related components supplied by KRRASS.
- Services include quotation support, technical consultation, installation, commissioning, training, warranty support, maintenance, troubleshooting, and after-sales service.
Scope and order of terms
These Terms apply to KRRASS websites that link to this page and to general sales and service interactions with KRRASS unless a separate signed agreement says otherwise.
If there is a conflict, the following order normally controls:
- a signed sales contract or written agreement between KRRASS and the buyer;
- the accepted quotation, pro forma invoice, purchase order accepted by KRRASS, or order confirmation;
- product-specific warranty, manual, installation, or service documents supplied for the machine;
- these Terms.
Any buyer purchase terms, portal terms, or standard procurement documents apply only if KRRASS expressly accepts them in writing.
Privacy and related policies
Your use of KRRASS websites is also subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, share, protect, and retain personal information and how cookies or similar technologies may be used.
Additional product manuals, safety notices, warranty documents, service reports, privacy notices, distributor terms, or platform terms may also apply to specific products, countries, services, forms, embedded media, or third-party tools.
Business use and authority
By requesting a quotation, placing an order, submitting technical requirements, or using the website for business procurement, you confirm that you are acting for a business or professional purpose and that you have authority to provide information and communicate on behalf of the relevant company or organization.
You are responsible for ensuring that your specifications, drawings, materials, facility conditions, import requirements, and intended machine use are accurate and lawful.
Quotes and orders
Quotations are based on the information available when KRRASS prepares them. Unless the quotation states otherwise, a quotation is not a binding order until KRRASS accepts the order in writing and any required deposit or payment condition is satisfied.
Quotation and order documents may include:
- machine model, capacity, controller, motor, tooling, safety devices, and optional systems;
- technical parameters, drawings, layout references, or configuration notes;
- price, currency, payment schedule, delivery term, estimated lead time, and packaging method;
- installation, commissioning, training, warranty, spare-parts, or service arrangements;
- documents required for export, import, customs clearance, certification, or local compliance.
KRRASS may reject or request clarification for an order if the specification is incomplete, unsafe, impractical, inconsistent with applicable law, or materially different from the accepted quotation.
Product information and specifications
Website product pages, images, videos, diagrams, samples, and technical descriptions are for general product information. They may show optional equipment, regional configurations, prototype details, or previous customer configurations.
Final specifications are determined by the accepted quotation, order confirmation, drawings, technical annexes, or written configuration sheet for your order. KRRASS may update product design, components, software, structure, appearance, or documentation to improve performance, safety, supply availability, or compliance, provided the delivered machine remains materially consistent with the accepted order.
Pricing, payment, and taxes
Prices are stated in the quotation or pro forma invoice and may depend on currency, delivery term, destination, exchange rate, component availability, tooling, options, packaging, and service scope. Unless stated otherwise, prices do not include import duties, customs fees, destination taxes, bank charges, storage, demurrage, unloading, foundation work, local permits, local installation labor, or buyer-side facility preparation.
Payment terms are stated in the quotation or pro forma invoice. KRRASS may suspend production, shipment, documentation release, warranty service, or spare-parts dispatch if payment is late, disputed without good faith basis, reversed, or incomplete.
Buyer is responsible for bank fees, intermediary bank charges, taxes, duties, and compliance costs unless the order document expressly assigns those costs to KRRASS.
Production and customization
Many KRRASS machines are built or configured for a specific order. Production lead times are estimates unless expressly stated as firm. Lead time may be affected by component availability, buyer approvals, technical clarification, payment timing, factory schedule, inspection, export documentation, or force majeure events.
Changes requested after order acceptance may affect price, delivery time, tooling, engineering, documentation, and warranty coverage. KRRASS is not required to implement a change until the parties agree in writing on revised technical, commercial, and schedule terms.
Delivery, export, and risk
Delivery terms, such as EXW, FOB, CIF, CFR, DAP, or another Incoterms-based term, must be stated in the quotation or sales document. The delivery term determines which party arranges transport, pays freight-related costs, handles export or import tasks, and bears risk at each stage.
Unless a written order document says otherwise, delivery dates are estimates and depend on production completion, payment status, carrier availability, customs processes, port conditions, export controls, and destination requirements.
Buyer is responsible for import clearance, destination duties and taxes, permits, local standards review, unloading, rigging, insurance after risk transfer, and confirming that the machine can legally and safely enter and operate in the destination country unless the accepted order assigns those duties to KRRASS.
Trade compliance
Buyer must comply with applicable import, export, customs, sanctions, anti-bribery, tax, product safety, and end-use laws. Buyer must not request, purchase, ship, resell, transfer, or use KRRASS products in a way that violates applicable trade restrictions, restricted-party rules, embargoes, anti-circumvention rules, or prohibited end-use requirements.
KRRASS may decline, suspend, or cancel a transaction, shipment, service visit, documentation release, or spare-parts supply if required information is missing, if compliance concerns arise, or if KRRASS reasonably believes the transaction may violate applicable law or expose KRRASS, its logistics providers, banks, suppliers, or partners to compliance risk.
Inspection and acceptance
KRRASS may perform factory inspection, testing, calibration, packaging checks, or video verification before shipment. Buyer may request additional inspection, third-party inspection, sample testing, or documentation before shipment, subject to written agreement on timing, scope, and cost.
Buyer should inspect packaging and goods promptly upon arrival. Visible shipping damage, shortage, or packaging issues should be recorded with photos, videos, carrier documents, and written notice as soon as possible so that carrier, insurer, or warranty review can proceed.
Use, installation, commissioning, resale, or failure to report a visible nonconformity within a reasonable time may be treated as acceptance to the extent permitted by law and the written order terms.
Installation, commissioning, and training
Installation, commissioning, and training services are included only when stated in the quotation or service agreement. Services may be provided remotely, by KRRASS technicians, by authorized distributors, or by local service partners depending on the destination and order scope.
Unless otherwise agreed, buyer is responsible for site readiness, including:
- foundation, floor capacity, leveling area, crane or forklift, unloading, and rigging;
- power supply, grounding, compressed air, cooling, ventilation, dust extraction, and consumables;
- operator safety equipment, local permits, lockout/tagout procedures, and safe access;
- materials, test pieces, tooling, oil, gases, water, network access, and other commissioning inputs;
- translator, travel access, accommodation, local transport, and technician safety where on-site service is agreed.
Limited warranty
Warranty coverage, warranty period, covered parts, service method, and remedy are stated in the quotation, order confirmation, warranty document, or product-specific service terms. If no separate warranty document is provided, KRRASS will provide reasonable warranty support for confirmed defects in materials or workmanship under normal installation, operation, maintenance, and use.
Warranty remedies may include remote diagnosis, software or parameter guidance, repair instructions, replacement parts, component repair, or another remedy KRRASS determines is appropriate for the confirmed issue. Warranty service normally requires machine serial number, order information, fault description, photos, videos, alarm codes, maintenance history, and cooperation with troubleshooting.
Replacement parts may be new, equivalent, or refurbished where appropriate. Replaced parts do not restart the full machine warranty unless required by law or expressly agreed in writing.
Warranty exclusions
Unless a written warranty says otherwise, warranty does not cover:
- normal wear parts, consumables, tooling wear, blades, lenses, nozzles, filters, oils, seals, belts, or similar service items;
- damage caused by misuse, overload, collision, incorrect material, improper tooling, improper parameters, or unsafe operation;
- installation, maintenance, repair, modification, relocation, or disassembly not approved by KRRASS;
- unstable power, poor grounding, compressed-air problems, water quality, dust, humidity, corrosion, temperature, vibration, or unsuitable site conditions;
- software, controller, laser source, hydraulic, electrical, or third-party component issues caused by improper settings, unauthorized updates, or external equipment;
- shipping damage after risk transfers, storage damage, natural disasters, fire, flood, force majeure, or accidental damage;
- lost production, lost profit, wasted material, operator time, or other indirect losses.
After-sales service and spare parts
KRRASS supports customers through documentation, remote technical communication, troubleshooting, parameter guidance, video support, spare-parts supply, and service coordination. Availability, response time, language, service hours, on-site support, and local distributor coverage may vary by country, product, and order scope.
Spare parts may be supplied under warranty, sold separately, or quoted as service parts depending on the situation. Buyer should use genuine or approved parts where required for safe operation and warranty continuity.
For out-of-warranty service, buyer is responsible for parts, labor, travel, freight, customs, taxes, and other service costs unless KRRASS agrees otherwise in writing.
Returns, cancellations, and refunds
Because industrial machinery is often built, configured, packaged, or documented for a specific order, cancellations, returns, and refunds are not automatic. A cancellation or return requires KRRASS written approval and may be subject to production costs, engineering costs, restocking, inspection, packaging, freight, customs, banking, service, or depreciation charges.
Custom machines, special tooling, electrical configurations, software options, modified machines, used machines, commissioned machines, and specially ordered spare parts are generally not returnable unless required by law or agreed in writing.
No product should be returned to KRRASS without written return authorization and shipping instructions. Unauthorized returns may be refused, delayed, or returned at buyer's cost.
Safety, site readiness, and compliance
Buyer is responsible for selecting equipment suitable for its materials, process, operators, facility, local safety rules, and applicable standards. KRRASS may provide technical guidance, but buyer remains responsible for final process validation and local legal compliance.
Operators must be trained, manuals must be followed, guards and safety devices must be used, and maintenance must be performed on schedule. Buyer must not bypass safety systems, overload machinery, remove warning labels, or operate equipment in unsafe conditions.
Website use
You may use KRRASS websites for lawful business research, quotation requests, product review, and communication with KRRASS. You must not use the website in a way that disrupts, overloads, damages, scrapes at unreasonable scale, reverse engineers, attempts unauthorized access, sends malware, submits false information, or violates applicable law.
Product content, calculators, comparison guides, images, videos, and website materials are provided for general information. They are not a substitute for a written quotation, engineering review, safety assessment, or site-specific process validation.
Website access and changes
KRRASS may modify, suspend, restrict, remove, or discontinue any part of the Website, online content, forms, calculators, media, downloads, or public tools at any time. We may also suspend or block access if we believe a visitor is violating these Terms, attempting unauthorized access, disrupting the Website, abusing forms, or creating security, legal, or operational risk.
We try to keep product information useful and current, but Website content may be updated, replaced, corrected, or removed without notice. Availability of Website features does not guarantee product availability, order acceptance, price validity, or service coverage in a particular country.
Submissions and feedback
If you submit drawings, samples, photos, videos, specifications, application data, comments, questions, reviews, testimonials, or feedback, you confirm that you have the right to provide them and that they do not violate another party's rights, confidentiality obligations, safety obligations, or applicable law.
KRRASS may use submitted information to respond to inquiries, prepare quotations, evaluate feasibility, manufacture configured products, provide support, improve products or services, and keep business records. Unless a separate written confidentiality agreement applies, do not send information that you consider highly confidential, export-controlled, or restricted.
Intellectual property
KRRASS owns or licenses the trademarks, logos, text, graphics, photos, videos, drawings, website design, product materials, and other content on the website. Except as allowed by law or expressly permitted in writing, you may not copy, modify, distribute, sell, scrape, train AI systems on, or create derivative works from KRRASS website content or confidential documents.
If you provide drawings, samples, specifications, feedback, or process information, you confirm that you have the right to provide them and that KRRASS may use them to evaluate, quote, manufacture, service, and improve the requested products or services.
Third-party content and components
KRRASS machines may include third-party controllers, laser sources, hydraulic components, electrical components, software, manuals, or optional systems. Third-party warranty, software, license, documentation, and support terms may apply in addition to KRRASS terms.
The website may link to third-party websites, platforms, videos, social media, maps, payment tools, distributors, or service partners. KRRASS is not responsible for third-party content, policies, availability, or acts except where required by law or expressly agreed in writing.
Disclaimers and liability
To the fullest extent permitted by law, website content is provided "as is" and "as available." KRRASS does not guarantee that website content is error-free, complete, uninterrupted, or suitable for every application.
For product sales and services, KRRASS liability is limited to the remedies stated in the applicable order, warranty, or written agreement. KRRASS is not liable for indirect, incidental, special, punitive, or consequential losses, including lost profit, lost production, downtime, lost contracts, wasted material, or business interruption, except where such limitation is not permitted by applicable law.
Indemnity
To the extent permitted by law, buyer agrees to defend, indemnify, and hold KRRASS harmless from claims, losses, damages, penalties, costs, and expenses arising from buyer's misuse of the Website or products, inaccurate specifications, unauthorized modifications, unsafe installation or operation, violation of these Terms, violation of applicable law, infringement of third-party rights, or breach of buyer's import, export, customs, tax, site-readiness, safety, or compliance responsibilities.
Force majeure
KRRASS is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, labor disruption, supplier failure, port congestion, shipping disruption, customs delay, export or import control, government action, power shortage, cyber incident, or other events that materially affect production, delivery, service, or documentation.
Governing law and disputes
The governing law, forum, arbitration clause, and dispute-resolution process should be stated in the accepted quotation, sales contract, or written agreement. If no specific dispute term is agreed, the parties should first try to resolve disputes through good-faith business negotiation between authorized representatives.
Nothing in these Terms limits rights or remedies that cannot be limited under applicable law.
General terms
These Terms, together with the written order documents and related policies or product documents referenced above, form the general understanding for Website use and the relevant sales or service relationship. Section headings are for convenience only and do not affect interpretation.
If any part of these Terms is found invalid or unenforceable, the remaining parts remain in effect, and the invalid part will be interpreted to the greatest extent permitted by law. A delay or failure by KRRASS to enforce a term is not a waiver of that term. Buyer may not assign an order, warranty right, or service arrangement without KRRASS written consent unless applicable law requires otherwise.
Provisions that by their nature should continue after order completion, cancellation, expiration, or termination will continue, including provisions about payment, records, intellectual property, confidentiality, safety, warranty limits, liability, indemnity, dispute resolution, and compliance.
Changes
KRRASS may update these Terms from time to time. The latest version will be posted on this page with an updated date. Changes to website-use terms apply when posted. Changes do not amend an already accepted machine order unless the parties agree or applicable law requires otherwise.
Language
KRRASS may make these Terms or related materials available in more than one language. Unless a signed agreement states otherwise, the English version controls to the extent there is any inconsistency between translations.
